These terms govern the use of the CrankPal website, application and services (the "Platform"), provided by CrankPal S.r.l., with registered office at Via Benedetto Marcello, 6 – 20124 Milano, tax code and VAT number 14801630964, registered with the Companies Register of Milano Monza Brianza Lodi, REA MI-2807869, PEC [email protected] ("CrankPal", "we"). Identification details and contact information are also provided pursuant to Art. 7 of Legislative Decree No. 70 of 9 April 2003 (electronic commerce). By using the Platform you declare that you have read, understood and fully accepted these terms, which constitute a binding contract pursuant to Arts. 1321 and 1372 of the Italian Civil Code. If you do not accept them, do not use the Platform.
CrankPal offers digital tools to organise bicycle maintenance, keep a history of service work, book work at affiliated workshops and receive maintenance guidance, including "predictive maintenance" features and the "Cranky" conversational AI assistant (Art. 13). The Platform serves purely informational and organisational purposes. Repairs, diagnoses and technical work are carried out independently by the workshops, which are independent parties and solely responsible for their own work (see Art. 15).
To avoid misunderstandings, you expressly acknowledge and agree that CrankPal:
Some features require you to create an account, providing truthful and up-to-date information and keeping your credentials confidential. You are responsible for all activity carried out through your account.
The Platform may offer free and paid plans. Pricing, duration and renewal terms are stated at the time of subscription, together with the pre-contractual information owed to consumers pursuant to Arts. 48 et seq. of the Italian Consumer Code. Any payments are handled by third-party payment service providers; CrankPal does not store full card details.
If you are a consumer and subscribe to a paid plan at a distance, you have the right to withdraw within 14 days pursuant to Arts. 52 et seq. of the Italian Consumer Code, without giving any reason. The right of withdrawal does not apply, pursuant to Art. 59 of the Italian Consumer Code, where the supply of the digital service has begun with your prior express consent and your acknowledgement that you lose the right of withdrawal once the supply is complete. Instructions for exercising the right of withdrawal are available in your personal area or by writing to [email protected].
The processing of your personal data is described in the Privacy Notice (Privacy Policy), provided pursuant to Arts. 13 and 14 of Regulation (EU) 2016/679 (GDPR) and Legislative Decree No. 196/2003, which forms an integral part of these terms. The Privacy Notice sets out the purposes and legal bases of the processing, retention periods, recipients, transfers, your rights (Arts. 15-22 GDPR, including the right to lodge a complaint with the Italian Data Protection Authority (Garante)), as well as the details of the data controller (CrankPal S.r.l.) and the contact points for exercising your rights: [email protected] · PEC [email protected].
When you add a workshop to your favourites or accept its invitation, you expressly authorise CrankPal to share with that workshop your profile (name, contact details) and the data of your bicycles (model, components, maintenance history). Each workshop is an independent data controller for the data it receives. In particular:
Work entrusted to other workshops (subcontracted jobs). The workshop handling your bike may entrust a specific job to another workshop or specialised repairer of the network. In that case only the necessary technical data are shared (bike, components, serial number, photos, diagnosis), never your name or contact details; your contractual relationship remains exclusively with your workshop, which is answerable to you for the work. If the workshop enables it, you can see the progress in the app in summary form (e.g. "at specialised centre", "on its way back").
AI assistance. If the workshop has enabled AI assistance features, the text of conversations between you and the workshop may be transmitted to a third-party provider (Anthropic, PBC — United States), appointed as a sub-processor, to generate summaries, draft replies and classifications for the benefit of the workshop. Your profile data is not transmitted, but the text of the messages is not anonymised and may contain any personal data you write in them. Under the contractual commitments in place between CrankPal and the provider, the content is not used to train the provider's models and is retained only for the time necessary for processing. Use of the messaging feature is optional: you may always contact the workshop through alternative channels. Details in the Privacy Notice.
CrankPal processes data relating to your rides and routes, component wear and maintenance work, in order to process it in aggregated and anonymised form and use it for the purpose of developing, training and improving CrankPal's predictive maintenance models and algorithms and the quality of the Service. The legal basis is the controller's legitimate interest pursuant to Art. 6(1)(f) of the GDPR, consisting in improving the reliability and quality of a safety-relevant feature and in product development; since the processing results in aggregated and anonymous data, the impact on your rights is limited. CrankPal has carried out the balancing assessment (LIA), a summary of which is available on request.
In particular, you acknowledge and agree that:
You retain the rights to the data you enter and grant CrankPal a limited licence to process it in order to provide the service, in accordance with the Privacy Notice. The trademarks, software and content of the Platform remain the property of CrankPal or their respective owners and are protected by Law No. 633 of 22 April 1941 (copyright) and Legislative Decree No. 30 of 10 February 2005 (Italian Industrial Property Code).
Some features may use data from third-party services (e.g. training apps or devices such as Strava, Garmin) or entered manually. Such data may be inaccurate, incomplete or out of date; CrankPal does not verify its accuracy and is not liable for the consequences of its use. Estimates derived from it inevitably inherit these limitations.
Wear estimates, component "health" indicators, alerts and suggestions ("Predictive Maintenance") are statistical and probabilistic computations based on models, averages and partial data. You expressly agree that:
Before each use and at appropriate intervals you must have the bicycle inspected and maintained by a qualified mechanic, in accordance with the manufacturer's instructions, and carry out pre-ride checks. The decision on the fitness and safety of the bicycle rests exclusively with you and the mechanic.
The Platform may include "Cranky", a conversational assistant based on artificial intelligence: when interacting with Cranky you are not talking to a human. Its replies are generated automatically, may contain errors and serve informational and support purposes only: they do not constitute technical diagnoses or professional advice, and the limits and exclusions of Art. 12 and the nature of the Platform described in Art. 3 fully apply to its maintenance suggestions. Use of the assistant is optional: all features of the Platform remain accessible through the interface.
Actions proposed by the assistant. Cranky may propose actions to you (e.g. booking work at a workshop): the action is executed only after your explicit confirmation and has the same effects as if performed manually in the app (a booking confirmed through Cranky is a booking in all respects vis-à-vis the workshop). Every confirmed action is recorded and can be reviewed in your personal area.
Data and conversations. The text of your conversations with Cranky and the account data needed for the reply are processed in accordance with the Privacy Policy and transmitted to a third-party provider (Anthropic, PBC — United States) which, under the contractual commitments in place, does not use them to train its models. Conversations are retained for 90 days; a sample may be reviewed by authorised staff, in pseudonymised form, for quality and safety purposes. If you ask to be transferred to human support, the conversation is shared with the support team only with your consent. Details in the Privacy Policy.
Cycling involves inherent risks of falls, serious injury or death, regardless of any software tool. By using the Platform you acknowledge and agree that:
Affiliated workshops are autonomous businesses independent of CrankPal. CrankPal does not perform, supervise, validate or certify the workshops' diagnoses, repairs, spare parts or advice, and is not a party to the contract for services or works (Arts. 1655 and 2222 of the Italian Civil Code) between you and the workshop. Any claim relating to work, spare parts, diagnoses or advice must be addressed exclusively to the workshop that carried out or provided them.
The presence of a workshop in the locator indicates solely that its tax registration data appears recorded and active in the public sources consulted. It does not constitute any guarantee, certification or recommendation of the workshop or its services by CrankPal.
To the maximum extent permitted by law, the Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose (in particular for safety purposes), accuracy, continuity or freedom from errors or interruptions. For consumers, the conformity regime for digital services and digital content under Arts. 135-octies et seq. of the Italian Consumer Code (Legislative Decree No. 170 of 4 November 2021) remains unaffected.
To the maximum extent permitted by law, CrankPal shall not be liable for damage to persons or property, injuries, accidents or death, nor for indirect or consequential damage, loss of data, loss of profits or loss of opportunity, arising from or connected with: (i) the use of or inability to use the Platform; (ii) reliance on estimates, alerts or the absence of alerts from Predictive Maintenance; (iii) failures, breakages or defects of the bicycle or its components; (iv) the work, advice or spare parts of the workshops; (v) third-party data; (vi) force majeure or fortuitous events (Arts. 1218 and 1256 of the Italian Civil Code). By way of example, CrankPal shall not be liable where a component gives way during use and the user complains that the Platform gave no advance warning.
Where liability of CrankPal exists and cannot be excluded, it is limited, to the maximum extent permitted by law, to the amounts, if any, paid by the user to CrankPal in the 12 months preceding the event.
Pursuant to Art. 1229 of the Italian Civil Code, liability for wilful misconduct or gross negligence is in any case reserved and cannot be excluded or limited. Nothing in these terms further excludes or limits liability for death or personal injury caused by CrankPal's fault where such liability cannot be excluded, nor the mandatory rights granted to consumers by the Italian Consumer Code (in particular Arts. 33-37 on unfair terms).
To the extent permitted by law, you undertake to indemnify and hold harmless CrankPal, its directors, employees and contractors from any claim, action, damage, cost or expense (including reasonable legal fees) brought by third parties and arising from: (i) your use of the Platform in breach of these terms or of the law; (ii) the use, condition or maintenance of your bicycle; (iii) data or content provided by you which you were not entitled to dispose of.
You may stop using the Platform and delete your account at any time from your personal area. CrankPal may suspend or restrict access in the event of a breach of the terms, security risks or legal obligations, where possible with prior notice.
CrankPal may update these terms for regulatory, security, technical or organisational reasons, or to reflect the evolution of the Service. Each new version is published on this page (/en/termini) with a version number and the relevant effective date; the version published by the system constitutes the version in force.
We will inform you of changes with at least 30 days' notice before the effective date, on a durable medium (email to the address associated with your account) and through a notice within the app/portal that lists the updated documents, allows you to read them in full and download them in PDF, and requires your acknowledgement. Exceptions apply to changes required by legal obligations or necessary for security, which may take effect with shorter or immediate notice where required.
Use of the Service after the effective date constitutes acceptance of the changes; if you do not accept them, you may stop using the Service and delete your account before that date, at no charge. Where a change to the digital service adversely affects, to a more than negligible extent, your access to or use of the Service, you have the right to withdraw free of charge within 30 days pursuant to Art. 135-terdecies of the Italian Consumer Code. In any event, the changes do not affect rights already accrued.
These terms are governed by Italian law. If you are a consumer, the level of protection afforded by the mandatory rules of the country of your habitual residence remains unaffected pursuant to Art. 6 of Regulation (EC) No. 593/2008 (Rome I), and the courts of the place of your residence or elected domicile have mandatory jurisdiction (Art. 66-bis of the Italian Consumer Code). For users who are not consumers, the courts of Milan have exclusive jurisdiction.
